1. Acceptance of Terms

By accessing or using the website cfxfactor.com (the "Site") and services provided by CFX Solutions LLC ("CFX Solutions," "we," "us," or "our"), you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Site or services.

2. Description of Services

CFX Solutions provides financial and operational services for the trucking industry, including but not limited to invoice factoring, fuel card programs, insurance facilitation, and dispatch tools. Specific services may be subject to additional agreements (e.g., a Factoring Agreement) which will take precedence over these Terms in the event of a conflict regarding that specific service.

3. User Obligations

You agree to use the Site and services only for lawful purposes. You agree not to:

Use the Site in any way that violates any applicable federal, state, local, or international law or regulation.
Impersonate or attempt to impersonate CFX Solutions, a CFX Solutions employee, another user, or any other person or entity.
Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which, as determined by us, may harm CFX Solutions or users of the Site.

4. SMS Usage Policy

By consenting to receive SMS communications from us, you agree to the following terms regarding acceptable use and prohibited content.

Prohibited Content

You acknowledge that our SMS services strictly prohibit content including but not limited to: unlawful activities, hate speech, harassment, pornographic or obscene content, intimidation, threats, fraud, and content that incites violence or discrimination. We reserve the right to terminate SMS capabilities for non-compliance.

Spoofing

Spoofing or causing a misleading originating number to display is strictly prohibited. We require all users to abide by applicable spoofing laws and industry standards.

Opt-Out Handling

You may opt out of receiving SMS messages at any time by replying STOP. We honor all opt-out requests promptly in accordance with industry guidelines.

5. Intellectual Property

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by CFX Solutions, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6. Limitation of Liability

To the fullest extent provided by law, in no event will CFX Solutions, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Site, any websites linked to it, any content on the Site, or such other websites, including any direct, indirect, special, incidental, consequential, or punitive damages.

7. Indemnification

You agree to defend, indemnify, and hold harmless CFX Solutions, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

8. Governing Law

All matters relating to the Site and these Terms, and any dispute or claim arising therefrom or related thereto, shall be governed by and construed in accordance with the internal laws of the State of Texas without giving effect to any choice or conflict of law provision or rule.

9. Changes to Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes.
